Introduction

These Terms of Service (the "Terms") govern your access to and use of the website located at https://globalbyte.io, any related dashboards, APIs, software, documentation and services (collectively, the "Services").

The Services are operated by bitkitai, Inc., a Delaware corporation (EIN: 33-2984753) doing business as "GlobalByte" ("bitkitai," "GlobalByte," "we," "us," "our"). Charges for paid Services will generally appear on your card statement as BITKITAI INC.

By accessing or using the Services, you agree to be bound by these Terms and by any policies referenced in them, including our Privacy Policy, Cookie Policy and any other policies or guidelines we make available to you from time to time (collectively, the "Policies"). If you do not agree, you must not use the Services.

1. Eligibility and Account Registration

You must be at least 18 years old, or the age of legal majority where you live (whichever is higher), and have the legal capacity to enter into a binding contract in order to use the Services.

To access certain features (including purchasing and managing proxies), you must create an account. You agree to:

  • Provide accurate, current and complete information;
  • Keep your information updated; and
  • Not impersonate any person or entity or use an email address or username that you are not authorized to use.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account or password has been compromised, you must promptly notify us at support@globalbyte.io.

2. Description of the Services

GlobalByte offers access to high-speed 5G mobile proxies and related proxy management tools, including features such as:

  • Dedicated 5G mobile modems for each proxy;
  • Support for multiple programming languages and integrations via our API;
  • Real-time and historical request logging and monitoring; and
  • Configuration options such as rotation intervals, region changes and tagging.

We are not a telecommunications carrier. We provide proxy and software infrastructure that may rely on third-party mobile network operators and other providers. Network quality, coverage and uptime can depend on these third parties and other factors outside our control.

The Services are primarily intended for business, professional and developer use (for example: social media management, automation, scraping, ad verification, e-commerce and SEO use-cases), subject always to these Terms and applicable law.

3. Acceptable Use and Prohibited Activities

You may use the Services only in accordance with applicable local, national and international laws and regulations; third-party platform terms and policies (for example, social networks, websites, APIs, app stores); and any acceptable use or technical usage guidelines we publish. You are solely responsible for understanding and complying with such laws and third-party terms.

You must not, and must not allow any third party to, use the Services to:

  • Violate any law, regulation or court order;
  • Infringe, misappropriate or violate any intellectual property, privacy or other rights;
  • Engage in or facilitate fraud, money laundering, identity theft or other unlawful conduct;
  • Send spam, unsolicited bulk communications, chain letters or other unsolicited commercial messages;
  • Transmit, distribute or introduce viruses, worms, malware, Trojan horses or other harmful code;
  • Harass, threaten, defame, stalk or otherwise abuse any person;
  • Attempt to bypass, disable, damage or interfere with any security or technical measures of the Services or any third-party service;
  • Gain or attempt to gain unauthorized access to any systems, networks, devices, data or accounts;
  • Interfere with or disrupt the integrity or performance of the Services, including by placing an unreasonable or disproportionately large load on our infrastructure;
  • Use any robot, spider, crawler, scraper or other automated means to access our website or dashboards (except as expressly permitted by our API documentation);
  • Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, underlying ideas or algorithms of the Services, except to the extent permitted by law; or
  • Misrepresent your identity, affiliation or the origin of any traffic.

When using GlobalByte proxies, you must not use them to:

  • Send spam or unsolicited communications;
  • Conduct credential-stuffing, brute force or other abusive login attempts;
  • Bypass access controls in violation of applicable law or contractual restrictions;
  • Engage in activities that violate the terms or policies of social media platforms, websites or online services you access;
  • Access or distribute illegal, abusive or otherwise inappropriate content (including content related to child exploitation, terrorism or hate); or
  • Commit or facilitate scraping, data collection or monitoring in violation of applicable law (including privacy, data protection or computer misuse laws).

What constitutes inappropriate or unauthorized use is determined in our reasonable discretion.

Where we offer "unlimited" data or traffic for certain plans, such use is subject to fair usage. We monitor data usage to ensure network stability and to protect our relationships with mobile network operators and other partners. If we determine, in our reasonable discretion, that your usage is excessive, abusive or likely to jeopardize our infrastructure, SIM cards, or relationships with providers, we may temporarily disable or throttle your proxies, suspend or terminate your subscription, and decline to issue any refund in such cases. We may specify or revise reasonable usage thresholds at any time.

We are not obligated to monitor user activity, but we may do so (including reviewing logs) to protect the security, integrity and availability of the Services; detect and prevent fraud, abuse and violations of these Terms; and comply with legal obligations and requests from competent authorities. We may investigate suspected violations and may remove or restrict access to the Services, or take any other appropriate action, at our sole discretion.

4. Plans, Trials, Fees and Payment

We offer free trials (for example, 24-hour test access) and various paid subscription plans as described on our Pricing page or in your order/dashboard. Free trials may be limited in time, features, locations, number of proxies, data usage and/or support. We reserve the right to modify, suspend or cancel any trial at any time, and to limit trials to one per user, account, payment method, organization or IP address.

All fees, billing periods and plan details are described on our website or in your account dashboard at the time of purchase. Unless otherwise stated, prices are quoted in U.S. Dollars (USD). We currently accept credit-card payments only, processed via third-party payment processors such as Stripe. You authorize us and our payment processors to charge your card for all amounts due for your plan(s). Charges will typically appear on your card statement under "BITKITAI INC" or a similar descriptor.

Some plans may be offered as recurring subscriptions that renew automatically at the end of each billing period, unless you cancel prior to renewal. By purchasing a recurring subscription, you authorize us (and our payment processors) to charge your card on a recurring basis for the applicable subscription fees and any taxes until cancellation. You can manage and cancel subscriptions via your account dashboard, subject to any notice or timing requirements described there.

Fees are exclusive of taxes unless otherwise stated. You are responsible for all applicable taxes, duties or similar charges (excluding our income taxes). If your payment involves currency conversion, the applicable exchange rate and any conversion fees are determined by your bank or our payment processor and may change over time. We do not control or guarantee any conversion rates.

You agree to first contact us at support@globalbyte.io to attempt to resolve any billing issues before initiating a chargeback with your card issuer or payment provider. Unwarranted chargebacks or payment disputes may be treated as a violation of these Terms and may result in suspension or termination of your account.

5. Refund Policy

We provide a free trial period (for example, 24 hours) so that you can evaluate whether the Services meet your needs before purchasing a paid plan.

Subject to the conditions below, you may request a refund within 3 calendar days from the time of your initial purchase of a specific subscription. After this 3-day period, no refunds are provided under any circumstances, including for any remaining time in the billing period, unused data or unused proxies.

We may approve a refund, in our reasonable discretion, where you have used the Services in a normal, fair and compliant manner; the Services did not function substantially as described; and you contact our support team at support@globalbyte.io within the 3-day window and cooperate in good faith to troubleshoot the issue.

We may decline a refund where, for example, you violated these Terms or any applicable law; we detect abusive, excessive or fraudulent use; the issue results from your own systems, tools, configurations or third-party services outside our control; or the request is made after the 3-day refund period.

If a refund is granted, access to the relevant proxies or subscriptions will be revoked and removed from your account; you must immediately cease using any refunded proxies; and the related invoice may be voided or adjusted in our systems. We may retain certain account and billing information as required for legal, accounting and security purposes.

6. Service Availability and Changes

We strive to provide reliable and high-performance Services, but the Services may be unavailable, slow or limited from time to time due to maintenance, upgrades, failures of third-party providers or other causes. We do not guarantee uninterrupted, error-free or 100% available service.

To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, consequential or special loss or damage arising from service unavailability or downtime, including any impact on your campaigns, automations, scraping or other activities. In our discretion, we may offer service credits or extend your subscription to account for material downtime, which will be your sole remedy for such issues.

We may, at any time and without prior notice, add, modify or remove features or functionalities; change pricing, plans or usage limits; or suspend or discontinue any part of the Services. If we make material changes that negatively affect your current paid subscription, we will use reasonable efforts to notify you, and you may have the option to cancel in accordance with these Terms.

7. No Warranties – "AS IS"

To the maximum extent permitted by law, the Services (including all proxies, APIs, tools, dashboards, logs and documentation) are provided "AS IS" and "AS AVAILABLE," without any warranties of any kind, whether express, implied or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, or any warranties arising out of course of dealing, usage or trade.

Without limiting the foregoing, we do not warrant that the Services will meet your requirements or specific performance targets; will be compatible with any particular website, platform or third-party service; that access will be uninterrupted, timely, secure or error-free; or that any data or results obtained from using the Services will be accurate, complete or reliable. You understand and agree that you use the Services at your own risk, and that the performance of your activities depends on many factors outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, in no event will GlobalByte, bitkitai, Inc., or their respective officers, directors, employees, shareholders, agents or affiliates be liable for any indirect, incidental, special, consequential or punitive damages; loss of profits, revenue, business, data, goodwill or anticipated savings; business interruption; or costs of substitute goods or services, arising out of or in connection with the Services or these Terms, whether based on contract, tort (including negligence), strict liability or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Services and these Terms will be limited to the amounts you actually paid us for the Services during the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by applicable law.

9. Indemnification

You agree to indemnify, defend and hold harmless GlobalByte, bitkitai, Inc. and their officers, directors, employees, shareholders, agents and affiliates from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or relating to your use or misuse of the Services; any content or data transmitted through the Services via your account or proxies; your violation of these Terms or any applicable law or regulation; or your violation of any third-party rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with any reasonable requests in defending such claims.

10. Term, Suspension and Termination

These Terms apply from the time you first access the Services and continue until terminated as described below.

You may terminate your account at any time by using the account settings or cancellation tools we provide, or by contacting us at support@globalbyte.io with a clear request to delete your account. Termination of your account does not entitle you to any refund, except as expressly set out in Section 5 (Refund Policy).

We may, in our sole discretion and without liability, suspend or terminate your access to the Services or your account (in whole or in part), with or without notice, if we reasonably believe that you have violated these Terms or any applicable law; your use poses a security risk, may harm the Services or other users, or may subject us or any third party to liability; your account is inactive, delinquent or associated with fraud or chargebacks; or we are required to do so by law or by a competent authority.

Upon termination for any reason, your right to access and use the Services will immediately cease; all active proxies and subscriptions under your account may be disabled or removed; we may retain certain information (including billing records and traffic logs) for a reasonable period for security, accounting and legal compliance purposes; and sections that by their nature should survive (including, without limitation, payment obligations, warranty disclaimers, limitations of liability, indemnities and governing law provisions) will continue in full force and effect.

11. Data, Logs and Privacy

To operate, secure and improve the Services, we may log usage information relating to your use of the proxies and Services, such as connection times and durations; IP addresses and proxy identifiers; data usage and performance metrics; and error logs and diagnostic data. We may retain such logs for a period we determine reasonable for security, troubleshooting, abuse-prevention and legal compliance.

Our collection, use and sharing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Emails, Newsletters and SMS

By creating an account, you consent to receiving transactional or operational communications (for example, account, billing, security and support messages) via email and, where provided, SMS.

With your consent where required by law, we may send you marketing communications (including newsletters, offers, product updates and other news) by email and/or SMS related to GlobalByte or other services we consider relevant. You can unsubscribe from marketing emails at any time by using the "unsubscribe" link in the message, or by contacting support@globalbyte.io. For SMS, you may typically reply with "STOP" or use any other method described in the message. We may still send you non-marketing communications as described above.

We process personal data in connection with such communications in accordance with our Privacy Policy and applicable data-protection laws.

13. Third-Party Websites, Platforms and Services

The Services may contain links to or integrations with third-party websites, platforms, APIs, payment processors (such as Stripe) or other services. These are provided for convenience only.

We do not control and are not responsible for the content, policies or practices of third-party websites or services, or any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content or services. Your use of third-party services is at your own risk and subject to their terms and policies.

14. Intellectual Property

All rights, title and interest in and to the Services, including all software, technology, code, APIs, documentation, designs, text, graphics, logos, trademarks (including "GlobalByte"), service marks and other content (collectively, the "GlobalByte Content") are and remain the exclusive property of bitkitai, Inc. and its licensors.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes and to integrate with our APIs in accordance with our documentation.

Except as explicitly permitted by these Terms or applicable law, you may not copy, modify, distribute, sell, lease, sublicense or otherwise exploit the GlobalByte Content; remove, alter or obscure any proprietary notices; or use any trademarks, trade names, logos or branding without our prior written permission.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on our website and update the "Last updated" date at the top. For material changes, we may provide additional notice (for example, via email or dashboard notices). Unless otherwise stated, changes will not apply retroactively. By continuing to use the Services after the updated Terms become effective, you agree to be bound by the updated Terms. If you do not agree to the changes, you must stop using the Services and cancel your subscriptions where applicable.

16. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules and without giving effect to the United Nations Convention on Contracts for the International Sale of Goods.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware, USA, and you hereby submit to the personal jurisdiction of such courts for that purpose.

To the maximum extent permitted by law, each party waives any right to a trial by jury in any action, proceeding or counterclaim arising out of or relating to these Terms or the Services.

Any claim you may have arising out of or relating to the Services must be brought within one (1) year after the cause of action arises, or such claim is permanently barred, unless a longer period is required by applicable law.

We are committed to making Globalbyte.io accessible to users of all abilities and are working toward compliance with WCAG 2.1 Level AA standards. We may maintain a more detailed Accessibility Statement on our website, which is incorporated into these Terms by reference.

18. Miscellaneous

These Terms, together with the Policies and any order forms or plan details presented to you at signup, constitute the entire agreement between you and GlobalByte regarding the Services and supersede all prior or contemporaneous agreements or communications (whether written, oral or electronic) related to the Services.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.

You may not assign, transfer or delegate these Terms, or any rights or obligations under them, without our prior written consent. We may freely assign or transfer these Terms, in whole or in part, without your consent, including to any affiliate, successor or purchaser of our business or assets.

Nothing in these Terms creates any partnership, joint venture, agency, franchise or employment relationship between you and us.
